Epoch Global Equity Fund:

Effective April 29, 2013, Epoch Investment Partners, Inc. became the portfolio advisor for the Epoch Global Equity Fund (formerly TD Global Growth Fund). Previously, Newton Capital Management Limited was the portfolio advisor for the fund. If the portfolio adviser change had been in effect previously, the fund’s performance could have been materially different.

TD Resource Fund:

On November 16, 2015, the investment strategies of TD Resource Fund were amended to provide the Fund with the flexibility to invest its assets in securities anywhere in the world.

TD Energy Fund merged into TD Resource Fund on April 22, 2016. The merger was a material change for TD Resource Fund and reset the performance of the fund.

TD Corporate Bond Plus Fund:

At the close of business on August 31, 2016, the investment objectives and investment strategies of the Fund were changed such that the Fund no longer gained exposure to North American and/or international bonds and other debt instruments indirectly through the use of forward contracts.

TD Diversified Monthly Income Fund:

At the close of business on August 31, 2016, the investment objectives and investment strategies of the Fund were changed such that the Fund no longer gained exposure to North American and/or international bonds and other debt instruments indirectly through the use of forward contracts.

TD Diversified Monthly Income Fund:

On October 25, 2019 the TD Balanced Income Fund merged with the TD Diversified Monthly Income Fund. TD Asset Management Inc. determined that the merger is a significant change that could have affected the performance had those changes been in effect throughout the performance period.

TD China Income & Growth Fund:

Effective February 3rd, 2020, TD China Income and Growth Fund's (formerly TD Asian Growth Fund) investment objective changed. As a result of this change, Martin Currie Inc. was removed as the fund's sub-adviser and TD Asset Management Inc. assumed full portfolio management responsibilities of the fund. TD China Income and Growth Fund's risk rating has also changed from "medium to high" to "high". Performance prior to this date relates to the fund’s previous investment objective and may differ substantially from the future performance of the fund under its new investment objective."

This document contains the terms and conditions (“Terms”) that apply when you add, attempt to add, use or keep any eligible debit card, credit card, or other Payment Card (each, a "Payment Card") issued by TD Bank in a digital wallet or any other electronic payment system into which your Payment Card may be enrolled or added by you ("Wallet") on any mobile or wearable device, tablet, watch or other device (each a "Device") that supports the Wallet. These Terms are a legal agreement, so please read them carefully. The words “you” and “your” mean a TD Bank Account holder, an authorized user on a credit card Account (an "Authorized User"), or anyone that you allow to use your Device. The words “we”, “us”, “our”, and “TD Bank” mean The Toronto-Dominion Bank and its affiliates in Canada. "Account" means the account associated with the Payment Card.

1. Accepting These Terms: By selecting "Agree" or "Accept", it means you have read and agree to these Terms. If you do not agree to these Terms, you must not add, attempt to add, use or keep the Payment Card in the Wallet.

2. Other Terms and Conditions That Apply to Your Account Still Apply. The terms of each account agreement and other agreements that apply to your Payment Card and Account including any amendments (collectively, your “Account Agreement”) supplement these Terms. The Account Agreement continues to apply to your Payment Card and Account including when you add your Payment Card or use it in the Wallet. The Account Agreement may describe, for example, the applicable fees, interest, and other terms and conditions that apply when you use a Payment Card. Nothing in these Terms changes your responsibilities under the Account Agreement. In the event of any conflict between these Terms and your Account Agreement, your Account Agreement applies. You understand that your use of the Wallet will also be subject to agreements or terms of use with the relevant Wallet provider ("Wallet Provider") or other third parties such as wireless companies or data service providers ("Other Third Parties"). TD Bank is not responsible for the Wallet Provider or Other Third Parties, and in no event shall such terms and conditions between you and the Wallet Provider or any Other Third Party be binding on TD Bank or impose any additional obligations, or obligations inconsistent with the terms and conditions of these Terms, upon TD Bank whatsoever.

3. Using a Payment Card in the Wallet. If you want to add a Payment Card to the Wallet, you must follow the procedures adopted by the Wallet Provider and any further procedures we adopt. You understand that not all Payment Cards are eligible to be added to the Wallet. We may not allow you to add a Payment Card to the Wallet if we cannot authenticate the Payment Card or if we otherwise suspect that there may be fraud associated with the Payment Card or the Account. The Wallet allows you and anyone else who has access to and use of your Device to make purchases using a Payment Card that has been added to the Wallet wherever the Wallet is accepted, subject to Payment Card activation and pre-set limits (which are subject to change). When you use your Payment Card through the Wallet to transact with a merchant, it is the same as if you swiped, inserted, waved, tapped or otherwise presented your physical Payment Card or signed the credit card slip or electronic signature device presented by the merchant and/or inputted your personal identification number to transact. Wallet transactions will be added to your credit card Account billing statement or, in the case of debit card transactions, your transaction history and Account statements (as applicable). You are financially responsible for all such transactions and associated interest charges and fees in accordance with the Account Agreement. The Wallet may not be accepted outside of Canada or at all places where your Payment Card is accepted. Please remember if you are using a Payment Card in the Wallet that requires you to activate the Payment Card, you may have to activate the Payment Card before using it in the Wallet. With respect to an Account, each Account holder and Authorized User may add their Payment Card to the Wallet to allow them to use and make purchases on the Account using the Wallet on their own Device, and you will be responsible for all such transactions in accordance with the Account Agreement.

4. Applicable Fees. We do not charge you fees for adding a Payment Card to the Wallet. Please review the Account Agreement for any fees, interest, or other charges that apply to your Account. In addition, the Wallet Provider or Other Third Parties may charge you service fees when you use your Device or the Wallet.

5. TD Bank is NOT Responsible for the Use or Function of the Wallet. TD Bank is not the provider of the Wallet and is not responsible for its use and function. We are only responsible for the Payment Card as set out in the Account Agreement. You should contact the Wallet Provider’s customer service if you have questions about how to use the Wallet or if you experience problems with the Wallet. We are not responsible for any failure of the Wallet or your inability to use a Wallet for any transaction. We are also not responsible for any loss, injury or inconvenience you suffer as a result of (a) any damage or vulnerabilities to your Device that may be directly or indirectly caused by the Wallet; (b) a merchant refusing to accept the Wallet; or (c) any actions or omissions of the Wallet Provider or any Other Third Party.

6. Your Responsibility to Keep Your Payment Card and Wallet Credentials Secure and Notify Us of Errors or Fraud. You agree to protect and keep confidential all information required for you to access your Device and the Wallet, respectively, and all information required to make purchases with a Payment Card using the Wallet on your Device, including without limitation, your User ID, passwords, passcodes and/or verification questions, if applicable, and any other information used to authenticate you to provide access to your Device and the Wallet (the "Wallet Credentials"). If you share your Wallet Credentials or Device with others (including without limitation, by allowing others to enroll their fingerprint, set up a passcode on your Device or otherwise), they may be able to access your Device and the Wallet to make purchases with your Payment Card through the Wallet, view transactions on your Device (including by way of Notifications, which may be visible on your Device without any requirement for you to enter a login or password), or otherwise obtain your personal information. You must contact us immediately if you believe there are errors or if you suspect fraud or unauthorized use of your Payment Card. We will investigate and where appropriate resolve any potential error or fraudulent purchase on your Payment Card as set out in your Account Agreement. We will not be liable for any losses you incur except as specifically described in the Account Agreement or as otherwise provided by law. Before you sell, give away, or dispose of your Device, you must remove the Payment Card from the Wallet by following the Wallet Provider's procedures for removal, otherwise the Payment Card may be available to the person who obtains your Device and you will be responsible for any transactions completed. If your Device is lost or stolen, you must contact TD Bank immediately.

7. Security of the Wallet. In addition to your efforts to keep your Wallet Credentials secure and confidential, we take reasonable steps to help ensure that information we send to others about your use of a Payment Card in the Wallet is sent to them in a secure manner. However, the Wallet Provider is responsible for the security of information that you provide to it or that is stored in the Wallet. We are not responsible if there is a security breach affecting any information stored in the Wallet or sent from the Wallet. However, in the unlikely event you experience an Account loss resulting from a transaction through the Wallet that you did not authorize or for which you are not responsible under these Terms or any other terms or agreement with us, you will be reimbursed for such Account losses provided you have met your security responsibilities and otherwise complied with your Account Agreement.

8. We Can Block, Suspend, or Cancel Your Use of a Payment Card. We can block you or Authorized User(s) from adding an eligible Payment Card to the Wallet, suspend your or your Authorized User(s)' ability to use an eligible Payment Card to make purchases using the Wallet, or cancel entirely your or your Authorized User(s)' ability to continue to use a Payment Card in the Wallet. We may take these actions at any time and for any reason without notice or liability to you, such as if we suspect fraud with your Payment Card or Account, if you have an overdue or negative balance on your Account, if directed to do so by the Wallet Provider, a regulator, or the applicable payment card network associated with your Payment Card (such as Visa, MasterCard or Interac), if use of the Payment Card in the Wallet would interfere with, degrade the performance of, or adversely affect any products, services or software of TD Bank or others, or if applicable laws change or where otherwise required by applicable law. You may remove a Payment Card from the Wallet by following the Wallet Provider's procedures for removal.

9. Notifications. You may receive notifications on your Device upon completing transactions using your Payment Card, including transactions linked to both your physical card and the Wallet (each a "Notification"). You may turn off Notifications at any time by adjusting the settings in the operating system of your Device. We are not responsible for any failure to provide you with information (including Notifications) through the Wallet at any time or for any reason. You should not rely on Notifications to confirm the final amount of any transaction as there could be transactions for amounts that are different than your final purchase when it is posted to your Account. 10. Privacy. TD may handle your personal information as set out in our Privacy Policy, available at td.com/privacy. Your information may be stored outside of your province or territory of residence, or outside of Canada. The Wallet Provider may handle your information differently, so please review the Wallet Provider's applicable terms of use and privacy policy that apply to their Wallet for information as to how the Wallet Provider will collect, use and disclose your personal information. We are not responsible for any loss, injury or other harm you suffer in connection with the Wallet Provider’s use of your information.

11. Your Personal Information. You agree that we may exchange information about you (such as your name, Payment Card and transactional data) and technical data (such as device identifier, IP address and location) with the applicable Wallet Provider and/or the Payment Card Network associated with your Payment Card, to facilitate adding a Payment Card to the Wallet, to complete any purchase you make using a Payment Card through the Wallet, to make transactional information available to you in the Wallet (for example, to display transactions linked to both your physical card and the Wallet), for internal analytics and reporting, to help manage fraud, security and error, or to assist the Wallet Provider in improving its products. The Wallet Provider may also use this information as described in its terms of use and privacy policy. It is your responsibility to review these terms and policies. If you require additional information, please contact the Wallet Provider directly.

12. Feedback. To the extent you provide any ideas, requests, feedback, reports, suggestions, recommendations or other information to us, in writing, orally, by demonstration or otherwise, regarding your use of the Wallet ("Feedback"), you grant to us, our contractors and third party service providers, a fully paid-up, royalty free, perpetual, irrevocable, worldwide, assignable without consent license to make, use, sell, copy, transmit, modify, display, perform, derivative works of, distribute (directly or indirectly) and otherwise fully commercially exploit, including the right to sublicense, such Feedback in connection with our products and services or otherwise. You waive any and all moral rights you may have in the Feedback in favour of us.

13. We May Change these Terms at Any Time. We may change these Terms at any time, including those terms relating to: acceptance, using a Payment Card in the Wallet, applicable fees, our responsibilities, our rights (including to block, suspend or cancel your use of a Payment Card), your responsibilities (including to keep your Payment Card and Wallet Credentials secure and to notify us of errors or fraud), security of the Wallet, notifications, privacy and your personal information, Feedback, how we may change these Terms, and other terms and conditions that apply. If we do, we will post changes to the Terms and indicate the effective date of the changes on https://www.td.com/ca/en/about-td/customer-care/legal-notices-and-disclaimers or by other means. Where required by law, we will notify you at least 30 days before the changes come into effect, electronically or by other means, setting out what is changing and the effective date of the changes. You may refuse such changes by removing all Payment Cards from the Wallet, or otherwise notifying us within 30 days after the changes come into effect. Your continued use or retention of the Payment Card in the Wallet will otherwise be taken as your acknowledgement and agreement to be bound by the changes to these Terms. You agree to check https://www.td.com/ca/en/about-td/customer-care/legal-notices-and-disclaimers for updates to these Terms from time to time.

14. Applicable for Terms governed by Quebec Law. You have been provided with French and English versions of these Terms and you have agreed that they may be drawn up in English. J. TD Authenticate Terms and Conditions

By clicking "Accept", you confirm you have read and agreed to the following terms and conditions:

TD Authenticate will collect device-related information. Please see our Privacy Policy below for more information about how TD Bank handles the information we obtain from you when you use TD mobile apps.

TD Authenticate will generate a one-time security code to be used to verify you. TD may, from time to time, require you to use an alternative authentication method(s).

You agree to take reasonable steps to safeguard and protect your PIN. You must:

  • Keep your PIN separate from the mobile device;
  • Keep your PIN strictly confidential and not share it with anyone;
  • Take all reasonable precautions to ensure that no one finds out your PIN, including while you key in the PIN on a device;
  • Avoid PINs that may be easily determined by others, such as birthdays, phone numbers, age, social insurance number, etc.; and
  • Ensure that each PIN is unique.

You understand that the TD Authenticate app is device specific and you may have to perform the setup process again when you switch mobile devices. A backup or restore to another device may not maintain the apps functionality. You also agree to uninstall the TD Authenticate app before you sell, give away, or dispose of your device.

Our Privacy Policy
This Privacy Policy tells you how we handle the personal information we obtain from you when you use our mobile apps. If you are using a mobile device to access TD websites via mobile browser, please refer to our Online Privacy Policy.

Information we collect
Depending on the specific TD app you use, we may collect the following information from you or your device as you use the mobile app: personal information you input into the app, financial information, transactional data, mobile phone number, geolocation (if enabled on your device), mobile country code, contact list (if enabled on your device), IP address, photos and/or camera, other device-related information such as the make and model of your device, its operating system, mobile device identification number (IMEI), MAC address, non-personal Device Identifier (AAID, IDFA), information about the screen size, and the date and time of your use. Please refer to your specific app for additional, applicable information.

How we use this Information

We may use this information to provide or enhance the app-specific products or services, to facilitate the operation of our apps, to help us understand how our users use our apps, for our internal analytics and reporting, authentication and security (including fraud prevention), and to improve the functionality of our TD apps.

We may also use and disclose this information as described in the Privacy Policy located on td.com.

We may disclose your information to our suppliers and agents who assist us in providing mobile app services to you. These suppliers and agents may be located in Canada or other jurisdictions and may access, use or disclose your information to meet legal or regulatory obligations, including responding to requests from government, regulators, courts and law enforcement authorities, in those jurisdictions.

We may also, in alignment with our digital partners (e.g. ad networks) use your non-personal device identifier, Apple Identifier for Advertiser (IDFA) or Google Advertising ID (AAID) for the purposes of delivering TD advertising to you on third-party apps.

If you click on one of our ads on a third- party app, cookies and/or your mobile marketing identifier may also be used to track the effectiveness of our advertising and for the purposes of delivering ads that may be relevant to you in the future.

You can opt-out of our interest-based advertising presented to you on third-party apps through the TRUSTe tool or by referring to the advertising settings of your mobile device. If you opt-out, you may still see some of our generic TD-branded ads on third-party apps.

Please note the ability to collect certain personal information is controlled by your device. For example your device may control the ability to disclose your device's geolocation or provide access to your contacts, photos and/or camera. Please refer to the documentation for your device regarding how to allow or block the collection of location or certain device information. If you choose not to provide location or certain device information, some services you request may not operate effectively.

Why we collect this Information

Financial information (including transactional data) and other personal information you provide through the app or you have allowed the app to obtain. We collect your financial and other personal information to provide you with certain services through our apps.

Geolocation: If enabled, the approximate physical location of your device. Mobile Country Code: A three digit number that indicates the country in which your mobile device is registered. For example, 302 is the mobile country code for Canada. Depending on the app, we may need to know your location for regulatory and security purposes, or to provide you with location-based services (e.g. to help find a TD branch nearby). With your consent, we may also collect and use your location information to generate and notify you of events and offers.

IP Address: A unique numerical label that identifies your device and allows it to communicate over a computer network. We use your IP address for purposes that include:

  • Communicating with your device
  • Providing you with services
  • Identifying your jurisdiction for legal and regulatory purposes
  • Authentication and security (including fraud prevention)
  • Presenting you with offers relevant to your region

Google Maps: We use Google Maps to provide location information that you request. When using the TD App, you agree to the collection, processing and storing of the data that is automatically gathered by Google LLC., its representatives and/or third parties. For more information, please visit google maps terms.

Contact list: Contacts are accessed, with your consent, to populate contact information relevant to certain transactions (e.g., to complete a TD Interac® e Transfer). Only the contacts you select will be shared with TD.

Photos and/or camera: Photos and/or camera are accessed, with your consent, to populate information relevant to certain transactions (e.g., to complete a mobile remote deposit, or to provision cards for mobile payments®).

Other Device-related information: This includes Mobile device identification number (IMEI); MAC address; Device ID: A unique number that identifies your device; Mobile phone number; Make and model of your device; Operating system of your device; Information about your device's screen size; Date and time of your use of the mobile app. Mobile Marketing ID -IDFA, AAID (if enabled). We use this information to identify and communicate with your device (e.g., send push notifications), use and provision cards for Mobile Payment (e.g. payment network requirements for Visa, Mastercard and Interac®), authenticate you and your device, provide you with services and offers compatible with your device, perform analytics, prevent fraud, determine the eligibility of your device, generate and send TD advertising on third party apps.

Wearables/OTHER Bluetooth on the device: Allow your device and your wearable to communicate with TD app for Apple Watch.

Android app permissions
When you download TD’s app on an Android device, depending on your software version, you will be asked to accept some permissions either the first time you download the app, or at the time you access specific features within the app. The following is a list of Android permissions requested by the TD app and why:

Device & app history: When multitasking, the TD app may use device and app history to retrieve the TD app from the background and to keep you logged in for up to 10 minutes.

Location: Depending on the app, we may need to know your location for regulatory and security purposes, or to provide you with location-based services (e.g., to help find a TD branch nearby). With your consent, we may also collect and use your location information to notify you of events and offers.

Phone: The TD app requests permission to make phone calls when you initiate "one-touch" dialing to TD branches and EasyLine from within the TD app. TD will not access your phone log.

Photos/Media/Files: The TD app requests permission to access the Android Google Maps service for TD location.

Camera: Photos and/or camera are accessed, with your consent, to populate information relevant to certain transactions (e.g., to complete a mobile remote deposit, provision cards for mobile payments ).

Wi-Fi connection information: The TD app checks for and uses an active internet connection to allow the TD app to function through communication with TD servers.

Device ID & call information: We use this information to identify and Communicate with your device, authenticate you and your device, provide you with services and offers compatible with your device, perform analytics, prevent fraud, determine the eligibility of your device.

Other: We use this information to check for an active internet connection to allow the TD app to function through communication with TD servers.

    By accepting the Biometric Terms of Use or by using Touch ID, Face ID or other forms of Biometrics ("Biometrics"), you are taken to have read and agreed to these Biometric Terms of Use, between you and The Toronto-Dominion Bank and its affiliates in Canada ("TD", "we" or "us"), including any amendments to these terms. You acknowledge that once this mobile device ("Device") is enabled with Biometrics for the TD app, any Biometric data stored on the Device can be used to access your TD accounts and information available through the TD apps and any apps offered by TD which you access using your TD app login credentials ("TD App") .

    By accepting these Biometric Terms of Use, you acknowledge and agree that:

    1. You are responsible for the care and control of your Device and you must take reasonable steps to safeguard and protect your Device from access by any individuals other than yourself.
    2. You agree that you will not enable Biometrics on your Device for TD App if:
      • (a) there is any Biometric data, other than your own, stored on your Device;
      • (b) if you share your Device with any other individuals; or
      • (c) If you have shared your current Device passcode with any other individuals.
    3. After you have enabled Biometrics, you will not permit any Biometric data, other than your own, to unlock your Device, and you will not share your Device passcode, while Biometrics is enabled.
    4. You agree to delete the TD App and any login credentials (Username and Password) and Biometric data stored on your Device, prior to sharing, transferring or disposing of your Device.
    5. You agree to notify TD at once if you suspect your Device is lost or stolen.
    6. You accept responsibility for all transactions carried out through the TD App on your Device while Biometrics is enabled, regardless of whether the transaction was completed by you or any person with Biometric data saved to your Device.

    You agree that in no event will TD be liable for any damages arising out of or related to your use of, or inability to use, Biometrics. TD reserves the right to disable Biometrics for the TD App at any time without notice.

    To understand how TD uses Device related information and other information arising from your use of the TD App, please review TD's Privacy Policy. These Biometric Terms of Use are in addition to and do not in any way amend or replace other agreements that apply to your use of the TD App or to TD products or services, unless we have specifically advised you in these terms.


    N.   Two-Step Verification Terms of Use

    If applicable, you agree to provide your phone number or multiple phone numbers that you are authorized to use. Solely to verify your identity and prevent fraud for the duration of the business relationship, you authorize your wireless operator (Telus, Bell, Rogers, or any other branded wireless operator) to disclose your mobile number, name, address, email, network status, customer type, customer file, billing type, mobile device identifiers (IMSI and IMEI) and other subscriber status and device details, if available, to our third party service provider. You consent to TD sending you, from time to time (a) an SMS text message or a voice message to your mobile phone number; or (b) a voice message to your landline phone number. The message will contain a one-time security code that you will be required to use to authenticate from time to time as determined by TD. You may have previously provided the same email and phone numbers for other purposes. Any associated consents are still in effect.

    You agree that if you choose to receive a voice message and you fail to pick up the call from TD, the message may be delivered to your voicemail.

    You also agree that TD may use the email address provided to send you security notifications related to your account or the account you are authorized to access.

    O. Western Union® Money Transfer

    TD Platform Terms of Use and Privacy Terms  

    Please read this document carefully. These TD Platform Terms of Use and Privacy Terms (the "TD Terms of Use" or “Terms”) are a legal agreement between you and The Toronto-Dominion Bank and apply to your use of the TD Platform.

    1. We use the following terms throughout and want to make sure you understand what they mean:

      "Global Money Transfer" means an electronic transfer of funds from you to another person outside of Canada using the Western Union® Money Transfer service;

      "Recipient" means the person who is intended to receive the funds you send using the Western Union® Money Transfer service;

      "TD Platform" means the service offered by TD, through TD's Mobile Banking App or EasyWeb Online Banking Service, which connects you to the Western Union® Money Transfer service;

      "Us/we/our/TD" means The Toronto-Dominion Bank and its affiliates in Canada;

      "Western Union" means Western Union Financial Services (Canada), Inc., an independent company and not an affiliate or company within TD Bank Group, which provides the Western Union® Money Transfer service in accordance with the Western Union Terms and Conditions;

      "Western Union® Money Transfer" means the global money transfer service offered by Western Union in accordance with the Western Union Terms and Conditions, and made available to you via the TD Platform; and

      "You/your" means you, as TD customer.

    2. It is important that you understand when these TD Terms of Use apply and when Western Union's Terms and Conditions relating to the Western Union® Money Transfer service found at (English) and (French) ("Western Union Terms and Conditions") apply.
    3. TD Terms of Use: The TD Platform is designed to give you access to the Western Union® Money Transfer service. These Terms will apply each time you use the TD Platform to send a Global Money Transfer using Western Union® Money Transfer service. By clicking the Accept button you confirm that you (1) are the age of majority in the province you reside; (2) have read these Terms; (3) consent to the TD Platform service; and (4) agree to be bound by these Terms. You should print or download and save these Terms. These Terms are available at the time of registration and on our public web site at (English) and (French). If you do not wish to click the Accept button, please note that you will not be able to access the TD Platform and use the Western Union® Money Transfer service.
    4. Western Union Terms and Conditions: In addition to these Terms, before you can complete a transaction using the Western Union® Money Transfer service, you will also have to review and agree to the Western Union Terms and Conditions. The Western Union Terms and Conditions apply to your relationship with Western Union and to your use of the Western Union® Money Transfer service.  Each time you submit your request to send a Global Money Transfer, Western Union is responsible for handling your request in accordance with the Western Union Terms and Conditions.
    5. TD fees and service charges: TD does not charge you a fee for the use of the TD Platform. However, money transfers, including Global Money Transfer, are transactions to which regular account transaction charges may apply.  These transaction charges are disclosed in TD's disclosure statement, About our Accounts and Related Services
    6. TD compensation: TD will receive compensation from Western Union for Western Union® Money Transfer transactions made using the TD Platform.
    7. Western Union® Money Transfer fees: Western Union may charge fees ("Western Union Transfer Fee") to process each Global Money Transfer. Western Union also determines the foreign exchange rate that applies to your Global Money Transfer.  Before you submit your request to initiate the Global Money Transfer, Western Union is responsible for disclosing to you the Western Union Transfer Fee, the foreign exchange rate (including estimates) and additional details about fees, taxes, transaction limits or other relevant information relating to specific countries.  Payments will generally be in local currency (except that in certain countries payment may be in U.S. dollars or other alternate currency at participating locations). In addition to the Western Union Transfer Fee applicable to each transaction, a currency exchange rate will be applied to the transaction. Canadian currency is converted to foreign currency at an exchange rate set by Western Union. Any difference between the rate given to you and the rate received by Western Union will be kept by Western Union (and its agents in some cases) in addition to the Western Union Transfer Fee.  You agree to pay to Western Union the Western Union Transfer Fee.

      You authorize TD to debit your TD account selected by you during the transaction process for the total amount of the Global Money Transfer you are sending and the Western Union Transfer Fee charged to you by Western Union. TD is not responsible for the Western Union Transfer Fee and foreign exchange rate provided by Western Union.
    8. TD transaction records: Your TD transaction records will show two (2) debits: one for the amount of the Global Money Transfer you are sending and another for the Western Union Transfer Fee charged by Western Union. These two (2) debits only count as one chargeable transaction for the purposes of the monthly transaction limits for your account.
    9. Limits: Each of TD and Western Union applies limits to the Global Money Transfer that you can send:
      • TD’s per Global Money Transfer limit is $999.99.
      • Western Union’s per Global Money Transfer limit is $999.99, 24-hour limit is $999.99, 7-day limit is $2,999.97 and 30-day limit is $6,999.93.

      Western Union® Money Transfer requests through the TD Platform will count towards your Western Union cumulative limits.

    10. No agency relationship: The Western Union® Money Transfer service is provided by Western Union and TD is not acting as your agent for the purposes of your Global Money Transfer or any other dealings between you and Western Union.
    11. Use of the TD Platform: You agree not to use the TD Platform, the Global Money Transfer or the Western Union® Money Transfer service to make transfers on behalf of any third party, including any individual, a business or other enterprise, or in any other manner that conflicts with these Terms.
    12. Profile update: You must make sure that your profile information with us (name, address and phone or mobile number) is up to date before you use the TD Platform and each time you use it.
    13. Consent to collect 3rd party info: It is your responsibility to provide complete and accurate information required about Recipients. Please carefully review the information you have entered prior to completing the Global Money Transfer. You further agree that the Recipient knows that you are providing Recipient's contact information to TD and Western Union, is aware of the purpose for which the information is being collected, used, disclosed and stored and you have obtained Recipient's consent to such collection, use, disclosure and storage. You further agree that we may disclose this information to Western Union for the purposes of providing the money transfer services to you. The information provided will be used to complete your request and fulfill regulatory requirements and will be treated in accordance with the TD Privacy Policy and Western Union Privacy Statement.
    14. Eligible accounts: Not all your accounts are eligible for the purposes of sending the Global Money Transfer. Eligible accounts are listed as part of the account selection made available to you during the transaction process.
    15. Cancelling your transaction: If you wish to cancel your Western Union® Money Transfer transaction, you may contact TD at 1-844-352-1148 (en français 1-844-352-1148) or Western Union at 1-866-279-0640 (English and en français). In addition, if a Western Union® Money Transfer transaction is submitted but the funds are not picked up by the Recipient within 60 days after the transaction is submitted, it will be cancelled by Western Union.  You cannot cancel your Western Union® Money Transfer transaction after the funds are picked up by the Recipient.  When your Western Union® Money Transfer transaction is cancelled, TD will credit to your TD account that was used to submit the Western Union Money Transfer transaction (i) the amount of the Global Money Transfer you sent and (ii) Western Union Transfer Fee.
    16. Hold, block, reject a request: TD or Western Union may hold, block or reject, as applicable, a request to send a Global Money Transfer that would or may infringe any legal or regulatory requirements in Canada or abroad or otherwise in accordance with TD’s or Western Union’s risk or compliance policies.
    17. Liability: The Western Union® Money Transfer service is provided by Western Union. We have no liability to you for the provision by Western Union of these services or for any loss of your funds after they are transferred to Western Union (including resulting from any delay, rejection or cancellation or Western Union’s insolvency).  We are responsible for the operation of the TD Platform.  We are not liable to you for any loss or damages incurred by you for the operation of the TD Platform, except for direct damages suffered where we or our agents were negligent. This limitation on our liability to direct damages applies even if we have been advised of the possibility that you may suffer other types of loss or damages.  In no event are we liable for any loss or damages resulting from the following: (i) any failure, error, malfunction, misuse, delay, or inaccessibility of the TD Platform or of Global Money Transfer, (ii) any system, equipment or service caused by a third party or other circumstances beyond our control, (iii) any rejection or cancellation of transactions, or (iv) any other failure, error, or delay by a third party, or other circumstances beyond our control.
    18. Changes to our Terms and changes to TD Platform: Subject to applicable law, we may add to or change the provisions of these Terms at any time.
    19. Our right to stop offering the TD Platform: We may stop offering the TD Platform, add or remove countries or territories to which Global Money Transfer may be sent, update any other feature of the TD Platform or stop providing you with access to the Western Union® Money Transfer service via the TD Platform, at any time.
    20.     24. Language: It is the express wish of the parties that these Terms and any directly or indirectly related documents be drawn up in English.     TD GLOBAL TRANSFER TERMS OF USE

    These TD Global Transfer Terms of Use (the "TD Terms of Use" or “Terms”) apply when you use TD Global Transfer. It is a legally binding agreement between you and The Toronto-Dominion Bank. For any capitalized terms not otherwise explained, please see Section 8 - Definitions.

    By clicking the applicable confirmation button to accept the Terms or otherwise registering for TD Global Transfer, you confirm that you: (i) are the age of majority in the province you reside; (ii) have read these Terms; and (iii) agree to be bound by these Terms. You should print or download and save these Terms.     SECTION 1. MONEY TRANSFER PROCESS

    1.1 What is TD Global Transfer?

    TD Global Transfer gives you access to and allows you to make a Money Transfer from the Funding Source using TD Transfer Services and/or third-party transfer services (the "Third-Party Transfer Services ").  

    1.2 What are the Third-Party Transfer Service Providers?

    The Third-Party Transfer Services are provided by third-party transfer service providers through TD Global Transfer (“Third-Party Transfer Services Providers”). In addition to these Terms, before you can complete a transaction using such Third-Party Transfer Services Providers, you will have to review and agree to their applicable terms and conditions (the "Third-Party Terms "). The Third-Party Terms apply to your relationship with the applicable Third-Party Transfer Service Provider and your use of the Third-Party Transfer Services.  

    With respect to the Third-Party Transfer Services, TD is not acting as your agent for the purposes of your Money Transfer or any other dealings between you and the Third-Party Transfer Services Providers.

    1.3 Who will be involved in processing your Money Transfer?

    In addition to TD and the Third-Party Transfer Services Provider, the institutions involved in processing your Money Transfer may include any of the following:

    • Institutions Connected to TD: (i) Our affiliates; (ii) TD’s correspondent bank relationships; or (iii) any other third party that TD uses. Together, we refer to these parties as Sender Parties.
    • Intermediaries: Intermediary institutions used by the Sender Parties or the Receiver Parties. Together, we refer to these parties as Intermediaries.
    • Institutions Connected to the Recipient’s financial institution: (i) The Recipient’s financial institution; or (ii) the Recipient’s financial institution’s correspondent bank relationships. Together, we refer to these parties as Receiver Parties.
    To process the Money Transfer, financial institutions may rely on the use of a correspondent bank relationship to route a payment to the Recipient’s financial institution. Both TD and the Recipient’s financial institution may individually use correspondent bank relationships. The correspondent bank may also require the use of an intermediary financial institution.

    1.4 What Funding Sources can I use to make the Money Transfer?

    The Funding Sources are listed and made available to you during the transaction process and are subject to change at our discretion and without notice.

    1.5 Why is providing accurate information important?

    The Money Transfers are processed based on the information you provide. When using TD Global Transfer and making any Money Transfer, you must ensure the accuracy of all information needed to complete the Money Transfer, including, without limitation, account numbers, card numbers, email addresses, your name, payee/Recipient name, phone numbers and any other information that may be necessary to complete the Money Transfer. You agree that it is your responsibility to provide complete and accurate information about you and the Recipient. Please carefully review the information you have entered or that may have been pre-populated based on the Recipient information you have previously provided prior to completing the Money Transfer. If you provide inaccurate information, it can interfere with, delay, or prevent the Money Transfer completion, including the funds being deposited with someone else other than the Recipient. In the event you provide erroneous information, we are not responsible for verifying the information you provided, reversing the transaction or recovering the funds transferred as a result of that transaction and we will not be liable for any losses incurred by you as a result of your failure to provide us with correct information.

    In addition, to comply with law or internal requirements, we or some of the Sender Parties involved in the Money Transfer, including Third-Party Transfer Service Provider, the Intermediaries and Receiver Parties may require additional information and documentation, including information about and documentation from the Recipient.

    1.6 What consent do I need?

    You agree and consent that we may disclose your and Recipient information to the Third-Party Transfer Service Providers, the Sender Parties, the Intermediaries and the Receiver Parties for the purposes of completing your Money Transfer request, and such information may be accessed by foreign or domestic authorities or regulatory bodies as a result, and will be subject to the laws of such foreign jurisdiction which may have different privacy standards. You further agree and consent that with respect to the Recipient information, the Recipient: (i) knows that you are providing their information to TD, the Third-Party Transfer Services Provider, the Sender Parties, the Intermediaries and the Receiver Parties, where applicable; (ii) is aware of the purpose for which the information is being collected, used, disclosed and stored; and (iii) you have obtained Recipient's consent to such collection, use, disclosure and storage. You confirm that you have the authority to provide such consent and acknowledgements on behalf of the Recipient. The information provided will be used to complete your Money Transfer request and fulfill regulatory requirements.

    1.7 Are there any restrictions to use TD Global Transfer?

    You agree not to use TD Global Transfer to conduct any improper, illegal, possible fraudulent or unauthorized activity. TD Global Transfer, TD Transfer Services and Third-Party Transfer Services are for personal use only and you shall not use TD Global Transfer, TD Transfer Services or Third-Party Transfer Services to make Money Transfers on behalf of any third-party individual, business or other enterprise, or in any other manner that conflicts with these Terms.  TD reserves the right to terminate and/or suspend your access and use to TD Global Transfer as set out in this Agreement.

    1.8 Can I change or cancel the Money Transfer?

    • TD Transfer Services. If you request a change to or cancellation of the Money Transfer, we will try to do so on a commercially reasonable efforts basis only however we cannot guarantee that a Money Transfer change or cancellation is possible once you have submitted the request to send the Money Transfer. We also do not control the funds after they leave TD. Fees may apply for any change or cancellation request.
    • Third-Party Transfer Services. If you wish to cancel your Money Transfer sent through the Third-Party Transfer Services, you may contact TD at 1-844-352-1148 (en français 1-844-352-1149). You cannot cancel your Money Transfer after the funds are received by the Recipient. 

    SECTION 2. FEES, CHARGES, LIMITS AND FOREIGN CURRENCY

    2.1 What Transfer Services fees apply? How are they charged?

    You authorize TD to debit the Funding Source selected by you during the transaction process for the total amount of the Money Transfer you are sending, and the TD Transfer Fee or the Third-Party Transfer Fee, as applicable.   TD is not responsible for the Third-Party Transfer Fee and foreign exchange rate provided by the Third-Party Transfer Services Provider. Your TD transaction records will show two (2) debits: one for the amount of the Money Transfer you are sending and another for either the TD Transfer Fee or the Third-Party Transfer Fee, as applicable. These two (2) debits only count as one transaction for the purposes of the monthly transaction limits for your account.

    The Money Transfers are transactions to which regular account transaction charges may apply. These transaction charges are disclosed in TD's disclosure document, About our Accounts and Related Services

    • TD Global Transfer. TD does not charge you a fee for the use of TD Global Transfer.
    • TD Transfer Services Fees. When you use TD Transfer Services to send Money Transfers, we will charge you a transfer fee (the "TD Transfer Fee") displayed to you prior to fulfilling each transaction so you can review it and consent or decline the transaction.
    • Third-Party Transfer Services Provider fees. When you use the Third-Party Transfer Services to send Money Transfers, the Third-Party Transfer Services Provider will charge you a transfer fee (the "Third-Party Transfer Fee") that will be displayed to you prior to fulfilling each transaction so you can review it and consent or decline the transaction.

    2.2 What other fees or amounts may apply?

    • TD Transfer Services. You acknowledge that the Receiver Parties and/or Intermediaries involved in the transfer may charge a fee to process the transfer, including conversion fees if funds are converted to another currency, and these fees may be deducted from the transfer amount, resulting in the Recipient receiving a lesser amount. We do not know the fees or other amounts that the Receiver Parties or the Intermediaries may apply, including, without limitation, any local charges or taxes, and we are not liable for any fees that may be charged by a Receiver Party or any Intermediaries.
    • Third-Party Transfer Services. Before you submit your request to initiate the Money Transfer using the Third-Party Transfer Services, the Third-Party Transfer Services Provider is responsible for disclosing to you the details about fees, taxes, transaction limits or other relevant information relating to specific countries.

    2.3 What currency and foreign exchange rate is used for the Money Transfer?

    • TD Transfer Services. 

      When you make the Money Transfer using TD Transfer Services, you authorize us to send the funds using the available currency selected by you. If you are making the Money Transfer in a currency that is different from the Funding Source you are using to fund it, we will quote you our foreign currency exchange rate. You can choose whether to go ahead with the purchase using the foreign currency exchange rate disclosed to you at the time of the purchase. If you agree to move forward, you are accepting the foreign currency exchange rate we disclose to you. The foreign currency exchange rate is set by TD and will be determined by TD in its sole discretion based on the factors that we determine to be relevant. The factors include, without limitation, market conditions, foreign exchange rates charged by other parties, our costs, our risks, business factors, economic factors and the amount of profit which will be earned by TD on the foreign currency exchange and any other relevant considerations. The foreign currency exchange rate that is set by TD is higher than the rate paid by TD to acquire and make available to you a particular currency, which means that TD earns revenue on all currency exchanges.

      In addition, in certain circumstances after the Money Transfer leaves TD, it may be converted to another currency. For example, currency conversion may be necessary if you sent the Money Transfer without using the local currency of the Recipient’s financial institution or Recipient’s account.

      Certain currencies are a zero-decimal currency and in certain instances payments must be entered in whole currency amounts without decimal points to avoid rejection. Amounts converted into a currency selected by you will also be rounded up if the last digit is 5 or greater or down if the last digit is less than 5.

    • Third-Party Transfer Services. For the Third-Party Transfer Services, the Third-Party Transfer Service Provider determines the foreign currency exchange rate that applies to your Money Transfer. Before you submit your request to initiate the Money Transfer using the Third-Party Transfer Services, the Third-Party Transfer Services Provider is responsible for disclosing to you the foreign currency exchange rate (including estimates). When you use the Third-Party Transfer Services, Canadian currency is converted to foreign currency at a foreign currency exchange rate set by the Third-Party Transfer Services Provider. Any difference between the rate given to you and the rate received by Third-Party Transfer Services Provider will be kept by the Third-Party Transfer Services Provider (and its agents in some cases) in addition to the Third-Party Transfer Fee.

    2.4 TD compensation

    With respect to certain Money Transfers made using the Third-Party Transfer Services, TD will receive compensation from the Third-Party Transfer Service Providers.

    2.5 What are the limits that apply to the Money Transfer?

    TD, the Third-Party Transfer Services Providers, including an Intermediaries and Receiver Parties may set limits on the Money Transfer, including the amount of money you are allowed to send, the amount of money the Recipient is allowed to receive or the currency in which the funds are received when you send the Money Transfer. TD does not control any limits applicable to the Recipient and it is your responsibility to confirm with the Recipient what if any such limits may apply.

    SECTION 3. HELD, REJECTED OR RETURNED MONEY TRANSFER

    3.1 Who can hold, reject or return the Money Transfer?

    TD, the Third-Party Transfer Service Provider, the Sender Parties, the Intermediaries or the Receiver Parties may hold, reject or return the Money Transfer.

    3.2 What might prevent the Money Transfer from completing?

    TD, the Third-Party Transfer Services Provider, the Sender Parties, the Intermediaries or the Receiver Parties may hold, block or reject, as applicable, a request to send a Money Transfer because of: (i) inaccurate information detected in a Money Transfer; (ii) legal or regulatory requirements in Canada or abroad, including economic sanctions; (iii) fraud, risk or compliance policies and procedures; or (iv) other reasonable grounds from time to time.   

    3.3 Are there refunds for cancelled, rejected, declined, unclaimed or incomplete Money Transfer?

    • TD Transfer Services. If the Money Transfer is declined or unclaimed by the Recipient, or is not completed, we will use commercially reasonable efforts to attempt to obtain a refund at your request from the Receiver Parties. If all or some of the Money Transfer funds are returned, we will first convert the funds into the same currency as the amount of the Money Transfer at the rate of exchange set by TD, established at the time the funds are converted for the return. We are not liable to credit you any amount which was not credited to us including the difference in the foreign currency exchange rates.
    • Third-Party Transfer Services. When your Money Transfer transaction is cancelled, TD will credit to your Funding Source that was used to submit the Money Transfer transaction (i) the amount of the Money Transfer you sent, and (ii) the Third-Party Transfer Fee.

    SECTION 4. LEGAL RESPONSIBILITIES

    4.1 Are there limits to the liability of TD or other parties?

    TD has no liability to you for the provision by the Third-Party Transfer Services Providers of the Third-Party Transfer Services or for any loss of your funds after they are transferred to the Third-Party Transfer Services Provider (including resulting from any delay, rejection or cancellation or the Third-Party Transfer Services Provider's insolvency). TD is not liable to you for any loss or damages incurred by you for the operation of TD Global Transfer, except for direct damages suffered where we or our agents were negligent. This limitation on our liability to direct damages applies even if we have been advised of the possibility that you may suffer other types of loss or damages.  Except as set out in this section, in no event are we liable for any loss or damages resulting from the following: (i) any error, delay, failure, inaccessibility, malfunction, or misuse of TD Global Transfer or any of the Transfer Services; (ii) inaccurate or insufficient information provided by you; (iii) any system, equipment or service failure caused by a third party or other circumstances beyond our control; (iv) any hold, block, rejection or cancellation of the Money Transfer; (v) acts or omissions by us, our affiliates, the Sender Parties, the Intermediaries; and the Receiver Parties, including for gross negligence or willful misconduct; (vii) any other error, delay, failure, mistake or rejection in sending the Money Transfer, including by any Sender Parties, Third-Party Transfer Service Providers, Intermediaries or Receiver Parties, or other circumstances beyond our control; (viii) foreign currency exchange conversions or changes in foreign currency exchange rates; (ix) any fees or other amount that may be charged by any Receiver Party or any Intermediary, including any fees or interest that may be deducted from the transfer amount; or (x) any delay related to sanctions. TD and the Sender Parties are not liable for any consequential, special, indirect, or punitive damages.

    SECTION 5. CHANGES

    5.1 How do we make changes to the Terms, TD Global Transfer or the Transfer Services?

    • We may change the Terms. Subject to applicable law, we may add, remove or change any provision of these Terms or replace these Terms with another agreement at any time. If we do so, we will provide you with notice before the changes come into effect. If you use TD Global Transfer after being notified of changes to the Terms and those changes have come into effect, you are deemed to have reviewed and accepted those changes.
    • Our right to stop offering TD Global Transfer. We may stop offering TD Global Transfer, add or remove countries or territories to which the Money Transfer may be sent, update any other feature of TD Global Transfer or stop providing you with access to any Transfer Services via TD Global Transfer, at any time. These Terms will apply to any changes to TD Global Transfer.
    • We may terminate or suspend. At any time, we can terminate any part of these Terms or suspend or terminate your access to TD Global Transfer for any reason whatsoever at any time without prior notice, including, without limitation, if you use TD Global Transfer on behalf of a third party.

    SECTION 6. COMMUNICATIONS AND CONTACT

    6.1 How we will contact you?

    You consent to us communicating with you electronically, including through the EasyWeb Message Center, TD websites, TD mobile app, email, text message, or any other electronic delivery method. We may also communicate with you or send you notifications by mail. Communications with you by electronic means have the same legal effect as if they were provided on paper. You will not dispute any communication with us on the basis that it was signed, delivered, received or entered into by electronic means.

    6.2 How you can contact us and the Third-Party Transfer Services Providers?

    When you choose to communicate with us using a potentially unsecure method, like paper mail or unencrypted communications (such as email, fax, text, or other means), we are not responsible if the following occurs: your message is altered; your message is lost; someone accesses it without permission; someone or something obstructs delivery.

    6.3 Who do you contact with complaints?

    7.1 What are other terms that apply?

    The following general contractual terms apply:

    • Governing Laws. These Terms are governed by and interpreted in accordance with the laws of the province or territory in Canada where you reside.
    • Other TD Agreements. These Terms are in addition to and do not replace any other agreement you may have with us, including the Financial Services Terms and Cardholder and Electronic Financial Services Terms, or any successors.
    • Electronic Terms and Signatures are Binding. Terms you agree to electronically, including using an Electronic Signature, are binding and have the same legal effect as if they were written down on paper. You will not dispute any agreement, or other terms, with us on the basis that it was delivered, received or entered into electronically, including using an Electronic Signature.
    • Electronic Records are Equivalent to Paper Records. Our records regarding any Money Transfers and the Transfer Services are final and conclusive (including electronic data and records, and those of any Third-Party Transfer Service Providers). These records will be admissible in any legal, administrative or other proceedings, and will be conclusive evidence of the contents of those records the same as if they were original paper records. You waive any right to object to the introduction of any such electronic data or records into evidence.
    • Language. It is the express wish of the parties that these Terms and any directly or indirectly related documents be drawn up in English.     SECTION 8. DEFINITIONS

    We use the following terms throughout and want to make sure you understand what they mean:

    Electronic Signature means any electronic information unique to you, which you create or adopt to show your acceptance. Examples of an Electronic Signature include an electronic representation of your handwritten signature, or clicking on an “I Accept” button, combined with relevant data such as date, time and user ID;

    Funding Source means any of account or other source of funds that we deem eligible as a payment source for transactions;

    Money Transfer means an electronic transfer of funds from you to another person using either TD Transfer Services or Third-Party Transfer Services;

    Recipient means a person who is intended to receive the funds you send using TD Global Transfer;

    TD Global Transfer means a platform offered an operated by TD, through TD app or EasyWeb Online banking, which enables you to send Money Transfers using either TD Transfer Services or Third-Party Transfer Services;

    TD Transfer Services means transfer services provided by TD;

    Us/we/our/TD means The Toronto-Dominion Bank and its affiliates in Canada; and

    You/your means you, as TD customer.

    Q. TD WheelsTM App Terms and Conditions

    The following terms and conditions, including the TD Wheels App Privacy Terms and Other TD Agreements, and any amendments (collectively the "Terms") are a legal agreement between you ("you" or "your") and The Toronto-Dominion Bank ("TD") and TD Auto Finance (Canada) Inc. ("TDAF") (individually and collectively) ("TD", "TDAF" "we" or "us") for your use of this App ("TD Wheels App"). It is important that you read and understand these Terms.

    By clicking the "I agree" button below or by continuing to use the TD Wheels App, you are taken to have read and agreed to all of these Terms.

    You agree that we may add to or change these Terms at any time and will provide notice to you by posting such notice on the TD Wheels App or by other means we consider appropriate. Your continued use of the TD Wheels App following such notice means that you agree to the Terms as amended.

    1. TD Wheels App Privacy Terms

    TD Wheels App will collect, use and disclose your personal information as follows:

    • The TD Wheels App will store information inputted about vehicles you are interested in, your current vehicle, income and expenses. This information is stored within your device and may be deleted by uninstalling the TD Wheels App from your device.
    • If you request a dealership to contact you, the TD Wheels App will provide your contact information and vehicle selection to the dealership so it can schedule an appointment with you so you can learn more about the vehicle and related TDAF financing offers. TD does not guarantee that such dealership will contact you. Please refer to the specific dealership's privacy notice for information on how they manage your personal information. For the purposes of locating a dealer and providing you rates within your province, the App will collect information you provide to us including geolocation (if enabled on your device).
    • The TD Wheels App will collect device-related information including mobile device identification number (IMEI) (depending on your mobile device), and other device-related information such as the make and model of your device, its operating system, MAC address, Integrated Circuits Card Identifier, information about its screen size, and the time and date of your use of the TD Wheels App.

    2. Other TD Agreements

    The terms of the agreements that you entered into or may enter into with TD for your TD account(s) or other products or services (as such agreements are amended or replaced by TD from time to time, the "TD Agreements") also apply to your use of the TD Wheels App. These Terms are in addition to and do not in any way amend or replace the TD Agreements that apply to your TD account(s), or other TD products or services, unless we have specifically advised you in these Terms.

    3. Information about the TD Wheels App

    The TD Wheels App also enables you to:

    • Browse new vehicle makes, models, and certain vehicle options and review payment estimates of purchase financing options for such vehicle available from TD Auto Finance;
    • Request an appointment from a vehicle dealership once you have selected options that best suits your needs.

    5. Care And Control Of Your Mobile Device, TD Wheels App And User Information

    You are responsible for the care and control of your mobile device, and the user identification, PIN, safekeys or safepicture if applicable, password, passcode lock, lock screen and verification questions and answers associated with your mobile device and your use of the TD Wheels App ("User Information"). You must take reasonable steps to safeguard and protect your mobile device and User Information.

    You must:

    • keep possession of your mobile device;
    • keep a lock screen or passcode lock (each a "Device Lock") on your mobile device at all times;
    • keep your User Information separate from your mobile device;
    • keep your User Information strictly confidential and not share it with anyone;
    • not permit anyone to use TD Wheels App on your mobile device, including but not limited to accepting any offers presented by TD Wheels App on your mobile device;
    • take all reasonable precautions to ensure that no one finds out your User Information, including while you key in User Information on your mobile device;
    • avoid User Information and Device Locks that may be easily determined by others, such as birthdays, phone numbers, age, social insurance number, etc.; and
    • ensure that each password or other identifier is unique
    6. Responsibility For Your Mobile Device And To Your Mobile Device Service Provider

    You are solely responsible for: (i) acquiring any hardware, device, wireless or Internet access required for you to use TD Wheels App; and (ii) any fees or other charges imposed by your mobile device provider, wireless services carrier or Internet service provider. It is your responsibility to determine if your mobile device provider, wireless services carrier or Internet service provider supports the TD Wheels App or if your mobile device is capable of accessing the Internet.

    7. Disabling The TD Wheels App or Blocking Access

    You may disable the TD Wheels App at any time by uninstalling the app from your device. Please refer to your user manual for instructions. By un-installing the TD Wheels App from your device, all information stored locally on the device such as past vehicle selections or trade-in information will be deleted.

    8. Installing And Using Modifications To The TD Wheels App

    If we upgrade, update or modify the TD Wheels App (including bug fixes, patches and new versions provided to you, "Modifications"), you may be required to promptly install and use the Modifications in order for you to be able to continue to access and use the TD Wheels App. TD may provide Modifications at any time with or without notice to you. TD, however, is under no obligation to make Modifications.

    9. License Grant

    You are granted a limited, revocable, non-transferable, non-exclusive license to use TD Wheels App on a mobile device that you own or control. TD can terminate this license at any time and with or without any reason. TD Wheels App is licensed, not sold, to you. You must not rent, lease, lend, sell, redistribute or sublicense TD Wheels App or any part of it. You agree that TD retains all right, title and interest in and to TD Wheels App including copies and portions of it. You may not decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, copy, reproduce, or create derivative works of, TD Wheels App or any part of it. You may not use TD Wheels App for any purpose that is illegal, fraudulent or infringes another person's rights. You agree to comply with any other requirements, restrictions or limitations provided by TD upon notice to you. You further agree to comply with any requirements, restrictions or limitations provided by a third party (including the app store provider, your mobile device provider or your wireless services carrier) relating to your use of TD Wheels App. TD logos and TD trademarks (collectively "TD Marks") are all owned by TD. You may not use TD Marks or any other intellectual property owned by TD or any other third party without the written consent of the owner.

    10. Possible Effects Of Installation, Removal Or Usage Of TD Wheels App And Disclaimer Of Damages
    And Warranty License Grant

    YOU AGREE THAT YOUR USE OF OR INABILITY TO USE THE TD WHEELS APP IS AT YOUR SOLE RISK. TD WHEELS APP IS PROVIDED "AS IS" AND "AS AVAILABLE" FOR YOUR USE, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS, IMPLIED, STATUTORY OR COLLATERAL, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT. WE DO NOT GUARANTEE THAT THE TD WHEELS APP OR ITS PRODUCTS OR SERVICES WILL BE CONTINUOUSLY AVAILABLE OR THAT THEY WILL BE FREE OF ERRORS, VIRUSES OR OTHER HARMFUL COMPONENTS.

    11. Limitation Of Liability

    YOU AGREE THAT TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT WILL TD AND ITS OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, AGENTS AND SUBCONTRACTORS BE LIABLE FOR ANY DAMAGES (INCLUDING INCIDENTAL, SPECIAL, INDIRECT, CONSEQUENTIAL OR PUNITIVE DAMAGES, DAMAGES FOR LOSS OF PROFITS, REVENUE, OPPORTUNITY, LOSS OF DATA OR BUSINESS INTERRUPTION), ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE TD WHEELS APP.

    12. Indemnification by You

    You hereby agree to defend, indemnify, and hold us (including third-party licensors and their respective directors, officers, shareholders, employees, agents and subcontractors) harmless from and against any liability, loss, claim, and expense, including legal fees and disbursements on a solicitor-client basis (i) related to your violation of these Terms; (ii) your use of the TD Wheels App including the information provided to you through the TD Wheels App; or (iii) any dispute between you and any third-party (including any provider of third-party content).

    13. Termination

    We may suspend, cancel or block your access to or use of the TD Wheels App at any time and for any reason, without notice or liability to you.

    You acknowledge that these Terms are between you and TD and not with the app store provider. You agree that the app store provider and its affiliates, and the wireless services carrier: (a) are not liable to you in any way whatsoever for the distribution, use, performance or non-performance of the TD Wheels App; (b) have no obligation whatsoever to furnish any maintenance and support services to you with respect to the TD Wheels App; (c) are not responsible for addressing any claims you may have relating to the TD Wheels App or your possession or use of the TD Wheels App, including, but not limited to, any claims that TD Wheels App fails to conform to any applicable legal or regulatory requirements, and any claims arising under consumer protection or similar applicable law; (d) are not responsible for the investigation, defense, settlement or discharge of any third party claims that TD Wheels App or your possession or use of TD Wheels App infringes that third party's intellectual property rights; and (e) are third party beneficiaries to these Terms solely in respect of this Section.

    16. Governing Law

    These Terms are governed by the laws of province or territory where you reside in Canada and the laws of Canada applicable therein. You agree that the courts of such province or territory will have exclusive jurisdiction to entertain any action arising under these Terms. These Terms do not modify any other agreement you may have with TD. If there is a conflict between any other agreement with TD and these Terms, these Terms shall govern.

    17. Severability

    If for any reason a court of competent jurisdiction finds any provision of these Terms invalid or unenforceable, then that provision of these Terms shall be replaced with a valid provision having similar effect to the greatest extent possible, and the remaining provisions of these Terms shall remain in full force and effect.

    18. Terms Drawn Up in English

    R. TD WheelsTM Pre Qualifications Terms and Conditions

    It is important that you read and agree to all of the terms and conditions below, as they apply when you apply for the TD WheelsTM Pre-Qualification (the "Pre-Qualification") made available by The Toronto-Dominion Bank ("TD") and TD Auto Finance (Canada) Inc. ("TDAF") (individually and collectively) ("TD", "TDAF" "we" or "us").

    Pre-Qualification Terms and Conditions

    Pre-Qualification means only that you may qualify for the loan requested based on the accuracy and completeness of the information you provide us, including any information you enter in or which is derived from the TD Wheels Calculator. Pre-Qualification does not grant credit and is not an approval or pre-approval for credit. Pre-Qualification is only valid for the selected vehicle. 

    You represent that you meet the following eligibility criteria:

    • you are a permanent resident of Canada
    • you are the age of majority in the province or territory where you will be purchasing a vehicle

    To be approved or pre-approved for credit, you must submit a full credit application at the dealership. TDAF may use additional or different criteria in assessing an application submitted at the dealership which may return different results. Pre-Qualification results are intended for illustrative and general purposes only and do not mean you will be granted credit.

    TDAF reserves the right to cancel or change the terms of your Pre-Qualification (including, but not limited to, the amount of credit you may qualify for and the applicable interest rate) any time without notice. TDAF reserves the right to make any final credit decision.

    With your consent, your consumer credit bureau report will be accessed for the purposes described below, including to help determine your Pre-Qualification. Accessing your consumer credit bureau report as part of this mobile Pre-Qualification application process will not impact your credit score. However, your credit score may be impacted if you choose to continue the approval process at the dealership.

    Collection, Use and Sharing of Your Personal Information 

    As part of the Pre-Qualification process, you also understand and agree to all of the following:

    In this section, "you", "your", and "yours" mean the applicant. "We", "us", and "our" mean the TD Bank Group*. "Dealership" means (the supplier of goods and/or services to you) the dealer who receives any Information about you from TD Wheels. "Information" means personal, financial, credit and other details about you that you provide to us and that we obtain from others outside the organization, including through the products and services you use. "Manufacturer" means the manufacturer of the vehicle you are selecting using this TDAF App and its agents and suppliers.

    TD will use the Information you provide, for the purpose of verifying your identity and to obtain your consumer credit bureau report as described below. 

    In order to process your application for Pre-Qualification, we are required to ask you for Information. The Information that you provide will be compared against the Information contained in the consumer credit report we access (called a "soft check") to help confirm your identity. The consumer credit report will also be used to assess your application for Pre-Qualification. Should the Information you provide not match the Information contained in your consumer credit report, you will not be able to complete the Pre-Qualification through TD Wheels. Note: We will refer to one consumer credit report for one or more applications for Pre-Qualification through TD Wheels provided the consumer report on file is less than sixty (60) days old. If it is more than sixty (60) days old we will access a new consumer credit report for such application for Pre-Qualification. 

    You agree that, throughout our relationship with you, we may obtain, use and share Information about you with: you, credit reporting agencies, governmental agencies responsible for registration of vehicles and/or recording of driver's license information, other lenders, the Dealership and other suppliers of goods and services to you, for the purposes of validating your identity, reviewing and verifying your creditworthiness, servicing the loan and for debt collection and contract enforcement purposes. During the term of your loan (and for a period of two (2) years thereafter), we may also share Information with the Manufacturer, the Dealership, or any third party dealer you may subsequently have dealings with for trade-in purposes, their agents and suppliers (including a copy of any credit pre-qualification application,  all of the terms, conditions and status of your loan with us, such as amounts financed and owing, interest rate, whether your loan is in good standing, and whether your loan has been fully or partially repaid, vehicle information, and your contact information) for the purposes of: 

    (i)  administering loan programs including end of term options available to you; 

    (ii) facilitating the trade-in of your vehicle with our consent; or 

    (iii) enabling the Manufacturer, the Dealership, their agents and suppliers to conduct analytics and to better market their products and services, including contacting you with specific offers and promotions which they believe would be of interest to you.

    If you do not wish us to share your contact Information for this purpose, please call us at 1-866-694-4392. 

    Please note that your loan information will continue to be shared in order to administer the loan programs. 

    You must contact the Manufacturer, Dealership or third-party dealer directly if you wish to opt-out of receiving marketing materials from them. Any personal information that you provide directly to the Manufacturer, Dealership or third-party dealer will be governed by their own privacy policies and is not the responsibility of TD Bank Group.

    You also agree that, throughout our relationship with you, we may also obtain, use and share information about you in the manner described in the TD Privacy Policy which has or will be provided to you and is available at https://www.td.com/privacy, for the purposes of providing ongoing service, sharing Information with our affiliates, meeting legal requirements, understanding your financial needs, protecting us both from fraud and error, and marketing products and services to you by telephone, fax, and automatic dialing-announcing device, at the numbers you have provided us, or by internet, mail, email or other methods. If there is a conflict between the provisions of on any credit pre-qualification application and the Privacy Policy, the provisions of any credit pre-qualification application will prevail.

    You acknowledge that the Dealership is our agent only for the purpose of completing any credit application and identification disclosure and submitting it to us for approval. You certify that all Information any credit pre-qualification application is true, accurate and complete.

    You confirm that any credit pre-qualification application submitted is not for the benefit of any person other than yourself. 

    The Dealership is not permitted to make any representations or warranties that are inconsistent with the written terms and conditions of any agreement with us.

    It is important that you ("you" or "your") read these privacy terms and temporary profile terms and conditions (together, the "Terms") which follow, as they will apply each time you use the Temporary Profile Service made available by The Toronto-Dominion Bank and its Canadian affiliates and associates ("TD""we" or "us") .

    "Temporary Profile Service" is a service available through the TD website that allows you to set up a profile to save and resume any in-progress TD applications that you have not yet submitted to TD (“Applications”). The Temporary Profile Service is further described in section 1 of the Terms and Conditions below.

    By clicking the checkbox below the Terms, or by using the Temporary Profile Service, you are taken to have read and agreed to the Terms, as amended from time to time.

    You agree that we may add to or change these Terms from time to time and will provide notice to you by posting the revised Terms on the TD website at https://www.td.com/ca/en/about-td/privacy-and-security/our-privacy-commitments or by other means we consider appropriate. Your continued use of the Temporary Profile Service following such notice means that you agree to the Terms as revised.     If you are using the Temporary Profile Service on behalf of a sole proprietorship, partnership, corporation or association (each a "Business"), "you" or "your" refers to both the Business and you as an individual user on its behalf and you represent that you are duly authorized to enter into these on behalf of the Business. These Terms are in addition to, and do not in any way amend or replace, the terms of any agreements that you have entered into, or may enter into, with TD, including but not limited to agreements related to any TD account(s) or particular products or services, unless we have specifically advised you otherwise in these Terms.

    PRIVACY TERMS

    TD will, as part of the Temporary Profile Service, collect and use your information as follows:

    • In order to set up a temporary TD profile ("Profile") and to use the Temporary Profile Service, you will need to provide certain personal information about yourself to TD, including first and last name, a valid e-mail address ("Profile e-mail") and a telephone number (each, a "Profile Phone Number"). We will also collect information about your Application(s), including the type of product you are applying for, the progress of your Application(s) and how you use the Temporary Profile Service. "Information" means all of the information described in this paragraph.
    • Each time you request access to your Profile, TD sends you a unique access code ("TD Verification Code") to your Profile Phone Number through your preferred delivery method of either (i) a short message service ("SMS"); or (ii) automated voice message.
    • TD will use your Information to send you electronic communications related to the maintenance and administration of your Profile, as part of the Temporary Profile Service.
    • We will use your Information to analyze your needs and activities to help us serve you better and develop new products and services.
    • If you opt in to receive marketing communications, we may also use your Information to contact you for marketing purposes. Specifically, we may contact you by telephone, text messaging and email to tell you about other TD products and services that may be of interest to you. Standard wireless carrier message and data rates may apply. You may update your marketing preferences for the Temporary Profile Service at any time through your Profile.
    • You cannot update your Profile e-mail once your Profile is registered. Within your Profile, you may update your Profile Phone Number(s) and other Information, except your Profile email.
    • We will retain your Profile, saved Application(s) and related Information, for up to 180 days from the creation of your Profile. We will retain your Profile Phone Number and Profile email for up to twelve months from your last log in into your Profile. We will retain any submitted Applications for up to eight years from submission of the Application. Please see sections 1 and 8 of the Terms and Conditions below for more information.

    TERMS AND CONDITIONS

    1. DESCRIPTION OF SERVICE

      a. The Temporary Profile Service is a service available through the TD website that allows you to set up a Profile for a limited period of time. Your Profile will be available for you to access for up to 180 days ("Active Period") from the date your Profile is created when a confirmation screen is displayed by TD.

      b. Subject to the exceptions set out within these Terms, during the Active Period, you may:

      a. access and resume any Applications saved within your Profile that have not been submitted to TD for approval;

      b. check the status of Applications that have been submitted to TD for approval; and

      c. perform other activities related to applying for a TD product such as setting up an appointment with a TD representative.

      c. Your Profile will be deleted once any of the following occurs:

      a. An Application is approved by TD and (i) you enroll into EasyWeb or WebBroker upon approval or (ii) you already have an active EasyWeb or WebBroker profile;

      b. The Active Period expires;

      c. TD can no longer verify your identity and you have not submitted any Applications;

      d. You are locked out of your Profile for security reasons; or

      e. TD otherwise suspends or terminates the Temporary Profile Service as set out in Section 10.

      d. As part of the Temporary Profile Service, TD will send you electronic communications related to the maintenance and administration of your Profile.

    2. TD Verification Code

      a. To access your Profile after it has been created, you will need to enter your Profile e-mail and select whether you wish to receive a TD Verification Code to your Profile Phone Number by either (i) SMS; or (ii) automated voice message. If you select automated voice message and you do not answer your phone or device, TD may leave a voice mail with the TD Verification Code. The TD Verification Code must be entered correctly to access your Profile. Each TD Verification Code expires within a pre-determined amount of time after it is sent to your Profile Phone Number.

      b. Standard wireless carrier message and data rates and roaming fees may apply. Please consult your wireless carrier for applicable text messaging fees and data plan rates.

    3. CARE AND CONTROL OF YOUR DEVICE AND USER INFORMATION

      You are responsible for the care and control of any phone or other device (“Device”) used to access the Temporary Profile Service or to receive a TD Verification Code, as well as your Profile Phone Numbers, Profile e-mail, and any user identification, PIN, password, passcode lock, lock screen and TD Verification Code associated with your Device and your use of the Temporary Profile Service ("User Information"). You must take reasonable steps to safeguard and protect your Device and User Information.

    4. RESPONSIBILITY FOR YOUR DEVICE AND TO YOUR TELECOMMUNICATIONS PROVIDER

      You are solely responsible for: (i) acquiring any hardware, device, wireless or Internet access required for you to use the Temporary Profile Service; and (ii) any fees or other charges imposed by your telecommunications provider, including wireless services carrier or Internet service provider related to your use of the Temporary Profile Service. Without limiting the generality of the foregoing, standard telecommunications provider message and data rates may apply.

    5. DEVICE OR INFORMATION IS COMPROMISED LOST OR STOLEN

      You agree to notify TD immediately at 1-800-667-6299 if you suspect your User Information or other information associated with your Profile has been compromised, or if your Device has been compromised, lost or stolen.

    6. ACCURACY OF INFORMATION AND CONDITIONS OF USE

      You agree that all information provided to TD when setting up your Profile and using the Temporary Profile Service is accurate and you are, as applicable, the rightful owner, lessee or licensee of, or are otherwise authorized to use, the Profile e-mail account and Profile Phone Number(s) associated with your Profile, as updated by you from time to time. You may not use the Temporary Profile Service for any purpose that is illegal, fraudulent or infringes another person's or Business's rights. You agree to comply with any other requirements, restrictions or limitations provided by TD upon notice to you.

      You understand and acknowledge that use of the Temporary Profile Service does not mean you are a customer of TD and you further understand and acknowledge that by setting up a Profile or by saving any Applications associated with your Profile do not result in submission of any Applications to TD.

    7. DISCLAIMER OF DAMAGES AND WARRANTY

      You agree that your use of or inability to use the Temporary Profile Service is at your sole risk. The Temporary Profile Service is provided "as is" and "as available" for your use, without warranties or conditions of any kind, express, implied, statutory or collateral.

    8. LIMITATION OF LIABILITY

      You agree that to the extent permitted by law, in no event will TD, its officers, directors, shareholders, employees, agents and subcontractors be liable for any damages (including incidental, special, indirect, consequential or punitive damages, damages for loss of profits, revenue, opportunity, loss of data or business interruption), arising out of or related to your use or inability to use the Temporary Profile Service.

    9. TERM

      These Terms will remain in effect until the Profile is deleted as detailed in Section 1(c) above.

    10. SUSPENSION OR TERMINATION OF SERVICE

      We may suspend, cancel or block your access to, or use of, the Temporary Profile Service at any time and for any reason, without notice or liability to you. Without limiting the generality of the foregoing, TD reserves the right, without notice to you, to temporarily or permanently lock your Profile, for (i) your security; or (ii) any reason deemed suspicious by TD, including in circumstances where there are multiple requests for a TD Verification Code, or multiple unsuccessful entries of the TD Verification Code, related to your Profile. During any period during which your Profile is locked (which may be permanent), you will not be able to access your Profile and will not be able to access any saved Applications.

      Banking services - If you have a complaint regarding a potential violation of a consumer protection law, a public commitment, or an industry code of conduct, you can contact the Financial Consumer Agency of Canada (FCAC) in writing at 6th Floor, Enterprise Building, 427 Laurier Ave. West, Ottawa, Ontario, K1R 1B9. The FCAC can also be contacted by telephone at 1-866-461-3222 (en français 1-866-461-2232) or through its website at www.fcac-acfc.gc.ca. Please note that the FCAC does not become involved in matters of redress or compensation.

      Wealth (Canada) businesses- We process large volumes of client account transactions each day and we do everything to ensure that your business is handled in an efficient, courteous and accurate manner. However, we want to know if we have not met the high level of standards we set for ourselves. We have procedures for clients that wish to bring a complaint to our attention and have it addressed quickly and effectively.       It is the express wish of the parties that these Terms and any directly or indirectly related documents be drawn up in English.     13. JURISDICTION

      These Terms are governed by and will be construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein. Each party agrees that the courts of the Province of Ontario will have exclusive jurisdiction to entertain any action arising under these Terms.
